    Terms of Service

    These terms of service summarize the general conditions of use of the Qube business management software ('Qube', 'the Service'), provided by Paolo Bonatti, sole proprietor trading under the same name, VAT number 01742700519 ('the Provider'), to clients who subscribe to its use ('the User') through a dedicated Order Form. The full contractual relationship between Provider and User is governed by the General Terms of Contract signed when the Service is activated; this page is a public summary of it.

    Description of the service

    Qube is a business management software (ERP) with restricted access, licensed for a fixed term (annual, tacitly renewed), intended for companies and professionals for managing records, documents, inventory, orders, accounting and related features. Access to the Service requires personal credentials issued after signing the Order Form and the General Terms of Contract.

    License and intellectual property

    Subscribing to the Service grants the User a non-exclusive license to use the software, not ownership of it. All intellectual property rights in the software (copyright, trademarks, know-how) remain the exclusive property of the Provider. The User may not decompile, modify, transfer to third parties, or allow use of the software by unauthorized parties.

    Accounts and credentials

    The User is responsible for keeping their login credentials confidential (username/password, or authentication via a third-party identity provider where enabled) and for any activity carried out through their account. The User agrees to promptly notify the Provider of any unauthorized use of their account they become aware of.

    Integrations with third-party services (sending email via OAuth2)

    Qube allows, on an optional basis and subject to the User's explicit authorization via the OAuth2 protocol, integration with third-party email accounts (e.g. Microsoft/Outlook, Google/Gmail) for the sole purpose of sending emails generated by the Service directly from the User's own mailbox, as an alternative to a traditional SMTP server. For this purpose the Provider only requests the minimum permissions needed to send email (for Google: the 'gmail.send' scope) and to identify the authorized email address ('userinfo.email'), with no ability to read, modify or delete messages or contacts in the User's mailbox. Activation is always reversible, either from Qube's own settings or directly from the User's account settings with the third-party provider. See the Privacy Policy for details on the data processed.

    Support service

    The Service includes, as specified in the Order Form, technical support and maintenance of the Service, with response times that vary based on the severity of the reported issue. Updates for the licensed version are included; moving to new versions may involve an additional fee.

    Confidentiality and backups

    Both parties agree to keep confidential the information exchanged in connection with the contractual relationship. The User is responsible for regularly backing up their own data, unless otherwise agreed in the Order Form.

    Warranties and limitation of liability

    The Provider warrants that the software will operate in accordance with the documentation provided, for the period indicated in the General Terms of Contract. To the extent permitted by applicable law, the Provider is not liable for indirect damages arising from the use or inability to use the Service, nor for the unavailability of third-party services (e.g. email providers) not directly controlled by the Provider.

    Term and termination

    The contractual relationship has an annual term with tacit renewal, unless terminated with at least 60 days' notice before expiry. The Provider may terminate the contract in case of serious breach by the User, including failure to pay amounts due.

    Governing law and jurisdiction

    These terms and the contractual relationship between Provider and User are governed by Italian law. The Court of Arezzo (Italy) has exclusive jurisdiction over any dispute.

    Changes to these terms

    The Provider reserves the right to update these terms of service; changes will be published on this page along with the date of the last update.
